Terms and Conditions

These Terms and Conditions (“Terms”) govern access to and use of the InnovationWorx website and the purchase of services made available through online checkout systems operated by Stripe or other third-party payment processors.
By accessing the website or completing an online purchase, you (“Customer,” “you”) agree to these Terms.

2. Scope of These Terms
These Terms apply only to services purchased online through InnovationWorx’s website or other self-service checkout mechanisms where pricing is fixed and billing is processed by Stripe or another third-party payment processor.
These Terms do not apply to custom, negotiated, usage-based, or performance-based services that require execution of a separate written agreement.
3. Relationship to Master Services Agreement
Services purchased online are not governed by InnovationWorx’s Master Services Agreement (“MSA”), unless expressly stated otherwise in writing.
Consumption-based, usage-based, or performance-based services cannot be purchased online and require execution of a Monthly Service Order subject to a separate written agreement.
Nothing in these Terms modifies, incorporates, or replaces any separately executed Master Services Agreement or Service Order.
4. Available Online Services
Online purchases are limited to one-time services or flat-rate services that may renew automatically based on the terms presented at checkout.
No variable-usage or consumption-based services are available for online purchase.
5. Pricing and Checkout
All prices are displayed at checkout and exclude applicable taxes unless stated otherwise.
By completing checkout, you authorize InnovationWorx and Stripe to charge your selected payment method in accordance with the pricing, billing frequency, and renewal terms presented at the time of purchase.
6. Stripe Payment Processing
Payments for online purchases are processed exclusively by Stripe. InnovationWorx does not store or control your payment credentials.
Billing cycles, renewals, notices, receipts, and retry attempts are controlled by Stripe and the configuration selected at checkout.
7. Subscriptions and Automatic Renewals
If you purchase a subscription, it will renew automatically unless canceled prior to renewal. Charges will occur on the anniversary date shown at checkout.
You are responsible for managing cancellations through the method described at checkout or by contacting InnovationWorx before the renewal date.
8. Refund Policy
Unless otherwise stated at checkout, one-time purchases are non-refundable once delivered and subscription fees are non-refundable once a billing cycle begins.
Refunds required by law will be issued in accordance with applicable regulations.
9. Service Availability and Changes
InnovationWorx may modify, suspend, or discontinue online services at any time without liability.
10. No Guarantees or Warranties
All services are provided “as is” and “as available.” No guarantees of results, performance, or outcomes are made.
11. Limitation of Liability
To the maximum extent permitted by law, InnovationWorx shall not be liable for indirect or consequential damages. Total liability shall not exceed the amount paid for the service during the prior twelve (12) months.
12. Intellectual Property
All content and materials are owned by InnovationWorx and may not be reused without prior written consent.
13. Termination
InnovationWorx may terminate access for violation of these Terms or non-payment. Obligations prior to termination remain enforceable.
14. Governing Law
These Terms are governed by the laws of the State of Idaho.
15. Updates to These Terms
These Terms may be updated from time to time. Continued use constitutes acceptance of the updated Terms.
